Terms of Service

1. Who we are

TOSK Global Digital Agro Hub (the “Platform”) is operated by TOSK GLOBAL VENTURES LIMITED, of BASE Enterprise Centre, Damastown Road, Mulhuddart, Dublin 15, D15 EPP4, Ireland, registered in Ireland under company number 664094 (“TOSK Global”, “we”, “us”). 2. Acceptance of these terms

By creating an account, accessing the marketplace or otherwise using the Platform you agree to these terms and to our Privacy Policy. If you use the Platform on behalf of an organisation, you confirm you are authorised to bind that organisation.

3. Accounts, roles and verification

• You must provide accurate registration information and keep it up to date.
• You are responsible for the security of your credentials and for activity under your account.
• Certain roles are granted only after review and approval; requesting a role does not guarantee it.
• Organisation verification status reflects the documents supplied to us and is not a warranty of any organisation’s conduct.
• Accounts may be suspended where we reasonably suspect fraud, misuse or breach of these terms.

4. The Platform is an intermediary

TOSK Global provides software through which participants can publish listings, find counterparties, request services and record supply-chain activities. Unless we state otherwise in a separate written agreement, we are not a party to contracts between users, do not take title to goods or hold client money, and do not act as a bank, lender, insurer, investment adviser, escrow provider, broker, agent, exporter, laboratory, certification body, customs authority or carrier. Users must perform their own commercial, identity, credit, sanctions, product and regulatory checks. Platform verification is an eligibility and document-review process, not a guarantee of a participant, product, service, investment, loan, payment or transaction outcome.

5. Listings and orders

• Listing prices, quantities and order totals are recorded by the Platform at the time an order is created.
• Order status changes are restricted by role and are recorded in an immutable event history.
• Uploaded media and documents must be your own or lawfully licensed, and must relate to the listing or order.

6. Acceptable use

You must not:

• publish false, misleading or fraudulent listings, certificates or documents;
• attempt to access data belonging to other users or to bypass access controls;
• scrape, overload, probe or interfere with the Platform or its infrastructure;
• upload malware or unlawful content, or trade goods you are not lawfully entitled to trade.

7. Agro AI and automated guidance

Agro AI may provide written, voice-enabled or visual guidance using information you submit and records your account is authorised to access. Its outputs may be incomplete or inaccurate and are not legal, financial, investment, customs, laboratory, certification, medical or regulatory advice. Visual screening is preliminary and does not establish product quality, safety, authenticity, conformity or export acceptance. You must confirm material decisions with the relevant buyer, accredited laboratory, certification body, customs professional, regulator or other qualified adviser. Agro AI may assist with a workflow but may not submit, approve, pay, certify or make a binding decision for you without an authorised user’s confirmation.

8. Content and intellectual property

You retain ownership of content you upload and grant us a non-exclusive licence to host, store, reproduce and display it for the purpose of operating the Platform. All Platform software, branding and design remain the property of TOSK Global or its licensors.

9. Availability and pilot status

The Platform is provided on an “as is” and “as available” basis. Features may change and service may be interrupted for maintenance. Pilot features are limited to approved participants and may be changed, paused or withdrawn. A listing appears publicly only after the applicable platform controls are satisfied, but users must still conduct their own checks before relying on it or entering a transaction.

10. Liability

To the maximum extent permitted by applicable law, TOSK Global is not liable for indirect or consequential loss, loss of profit, loss of goodwill, or loss arising from the acts or omissions of another user. Nothing in these terms excludes liability that cannot lawfully be excluded. To the maximum extent permitted by law, our total aggregate liability arising from or connected with the Platform is limited to the greater of (a) the fees you paid us for the Platform during the 12 months immediately before the event giving rise to the claim and (b) €100.

11. Suspension and termination

You may stop using the Platform at any time. We may suspend or terminate access for breach of these terms, for legal or security reasons, or on reasonable notice. Records required for audit, tax or legal purposes may be retained after termination as described in the Privacy Policy.

12. Changes to these terms

We may update these terms. Where changes are material we will give notice through the Platform. Continued use after the effective date constitutes acceptance.

13. Governing law and disputes

These terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction over disputes arising from or connected with these terms or the Platform, subject to any mandatory rights available to you under applicable local law.
